ALEXEY KHAVIN

Chairman of the Management Board of NCC Clearing Bank

Alexey Khavin was born on 28 July 1975 in Moscow. In 1997, he graduated from the Finance Academy under the Government of the Russian Federation, Institute of International Monetary-Financial and Credit Relations, specialty: international economy, qualification: economist.

From 1994 till 2003, Alexey Khavin worked in Evrofinance Commercial Bank where he progressed in his career from an expert to the Deputy Head of Treasury.

From 26 March 2003 till 06 March 2009, he worked in Gazprombank (Open Joint-Stock Company). From 17 January 2006 till 30 August 2007, he was the Vice President, Director of the Proprietary Trading Department, and headed proprietary trading of the Bank in all segments of the financial market. On 31 August 2007, he was transferred to the position of the First Vice President - Head of the Treasury; starting from that date, he supervised proprietary and client’s trading of the Bank in the financial markets.

On 11 November 2010, Alexey Khavin was employed by Bank “National Clearing Centre” Closed joint-stock company (after a change of the name, NCC Clearing Bank); from that date till 20 December 2010, he was the Advisor to the Chairman of the Management Board and was involved in development and perfection of temporarily available funds management mechanisms.

From 21 December 2010 till 11 April 2011, he was the Deputy Chairman of the Management Board of Bank “National Clearing Centre” Closed joint-stock company (after a change of the name, NCC Clearing Bank) and was in charge of operations of the Treasury and subdivisions of the back office.

Starting from 12 April 2011 when he was elected the Chairman of the Management Board of NCC Clearing Bank (the date of approval by the Bank of Russia: 08 April 2011) (re-elected as the Chairman on 12 April 2013 and 14 April 2015) up to now, he has been performing general management of the Bank’s activity.   

At the same time, Alexey Khavin is a member of the Board of Directors (Supervisory Board) of the following legal entities:

from 25 April 2006 up to now, the Co-Chair of the Council of the National Foreign Exchange Association;

from 24 February 2011 up to now, the member of the Board of Directors of Sea Launch AG;

     from 20 April 2011 up to now, the member of the Council of the National Securities Market Association (self-regulating non-profit organization);

from 28 June 2011 up to now, the member of the Supervisory Board of NCC Clearing Bank. Date of re-election to the Supervisory Board of NCC Clearing Bank: 22 May 2015.

EKATERINA DEMUSHKINA

Ekaterina Demushkina was born on 09 November 1969 in Moscow. In 1992, she graduated from the Moscow State University named after M.V. Lomonosov, Law Department, specialty: jurisprudence, qualification: lawyer.   

Information on supplementary vocational education: in 2006, Ekaterina Demushkina graduated from the Russian Academy for Foreign Trade, the program “Master of Business Administration – International Business”. She has qualification certificates of a financial market specialist (starting from 23 March 2007, in the area of trade organization in the securities market (stock exchange and clearing activity); starting from 27 February 2008, in the area of depositary activity).

Ekaterina Demushkina was one of the architects of the Russian securities market. She participated in formation of the legislative and regulatory base of the RF securities market, including preparation of draft laws and federal laws important for the financial market, such as: “On Securities Market”, “On Mortgage Securities”, “On Clearing and Clearing Operations”, “On Central Depository”. From 1996 till 2003, she was a member of the securities legislation workgroup in the Expert Panel of the Budget, Taxes, Banks and Finance Committee of the State Duma of the RF Federal Assembly.

Ekaterina Demushkina has been working in the banking system for about 20 years, including over 7 years in the Central Bank of the Russian Federation (Bank of Russia). She was awarded with the Honorary Diploma by the Bank of Russia for her huge personal contribution in the development and implementation of measures designed to improve the achievement of objectives set before the Bank of Russia.

Ekaterina Demushkina has been working in the companies being a part of the Moscow Exchange Group for over 8 years, including over 5 years in lending institutions (NSD and Bank “National Clearing Centre” Closed joint-stock company). She was directly involved in formation of the current infrastructure of the financial market through participation in meaningful projects related to establishment of “National Settlement Depositary” Non-Profit Partnership (at the present time, NSD) and Bank “National Clearing Centre” Closed joint-stock company for the purpose of dividing depositary and clearing activities as separate business areas, in reorganization of NSD by acquisition of MICEX Clearing House in 2011 and  participation in formation of the legislative base required for establishment of the Central Depositary in the Russian Federation.

From 28 June 2006 till 19 March 2007, she was the Deputy Chairman of the Management Board of Bank “National Clearing Centre” Closed joint-stock company (at the present time, NCC Clearing Bank) and supervised corporate governance and operational issues of Bank “National Clearing Centre” Closed joint-stock company since its establishment.

From 11 April 2007 till 04 June 2007, she was the Deputy Director of the Legal Department of Commercial Bank “Gubernskiy” (Limited Liability Company) and was in charge of corporate governance and legal aspects of banking activity.

From 18 December 2007 till 27 July 2010, she was the Vice President of Closed Joint Stock Company “Depositary Clearing Company” and supervised legal issues, risk management and anti-money laundering.

From 16 August 2010 till 10 November 2010, she was the Deputy General Director of “National Depositary Centre” Closed Joint-Stock Company (NDC CJSD). Due to reorganization of NDC CJSC in a form of acquisition by National Settlement Depositary (NSD), on 11 November 2010 she was transferred to the position of the Deputy Chairman of the Management Board which she held till 01 August 2011 supervising legal issues, business development issues and client’s work.

From 02 August 2011 when she was elected the Deputy Chairman of the Management Board of NCC Clearing Bank (the date of approval by the Bank of Russia: 10 July 2011) up to now, she has been performing coordination of and control over the activity of the IT Department, Legal Department, Financial Monitoring Service, Quality Manager.   

From 02 August 2011 up to now, she is a member of the Management Board of NCC Clearing Bank.

Ekaterina Demushkina doesn’t hold an office in management bodies of other legal entities.

MARIANNA GORINA

Chief Accountant of NCC Clearing Bank,

member of the Management Board of NCC Clearing Bank

Marianna Gorina was born on 29 September 1963 in Gelendzhik. In 1988, she graduated from the All-Union Correspondence Accountancy College of the USSR State Bank, specialty: accounting and operational equipment in the State Bank, qualification: accountant. In 2001, she graduated from the All-Union Correspondence Financial-Economic Institute, specialty: accounting and audit, qualification: economist.

Information on supplementary vocational education: from 10 March 2004 till 11 August 2004, she attended advanced professional training in IFRS in the International Moscow Financial-Banking School (Institute of Supplementary Vocational Education).

Marianna Gorina started to work in the banking area in 1986 at the Moscow-Sverdlovsk branch of the USSR State Bank.  

From 1989 till 1991, she worked at the Sverdlovsk branch of the USSR Savings Bank in Moscow.

In 1991, she was employed by “Russian National Commercial Bank” Open Joint-Stock Company where from 1998 till 2004 she was the Chief Accountant.

From 12 April 2004 till 07 April 2011, Marianna Gorina held executive positions in Joint- Stock Commercial Bank “Bank of Moscow” (Open Joint-Stock Company); from 04 April 2005, she was the Deputy Chief Accountant – Deputy Director of the Accounting, Reporting and Settlement Department and supervised the activity of the Accounting Division, Banking Operations Record Division.

In April 2011, Marianna Gorina was employed by Bank “National Clearing Centre” Closed joint-stock company where from 12 April 2011 till 16 May 2011 she was the Advisor to the Chairman of the Management Board  and was in charge of methodological and advisory work in the area of setting up the accounting and tax bookkeeping procedures.

Starting from 17 May 2011 when she was appointed the Chief Accountant and elected a member of the Management Board of NCC Clearing Bank (former name, Bank “National Clearing Centre” Closed joint-stock company) (the date of approval by the Bank of Russia: 21 April 2011) up to now, she has been supervising Accounting, Tax Bookkeeping and Reporting Division, Treasury Operations Record Division and Settlement Division.

Marianna Gorina doesn’t hold an office in management bodies of other legal entities.

SERGEY GORBACHENKO

Director of Clearing Department of NCC Clearing Bank,
member of the Management Board of NCC Clearing Bank

Sergey Gorbachenko was born in 1966 in Moscow. In 1989, he graduated from the Moscow Engineering Physics Institute, specialty: solid state physics, qualification: engineer-physician.

After graduation from the institute, he worked as a programmer in various companies for 8 years and ended that career stage as the Head of Automated Banking Systems Division of the Informatics Department in Joint-Stock Commercial Bank of Fishing Industry & Construction Investments.

In 1997, he started a carrier in infrastructural entities of the Russian financial market. Till  2002, he worked at the Moscow Stock Exchange where he was the Director of the Clearing House, the Head of the Clearing Division of Association of Legal Entities “Depositary-Settlement Union” and the Director of the Derivatives Market Department.

From 2002 till 2010, he was involved in maintenance and development of clearing in the RTS Group markets where from 28 February 2003 till 26 January 2010 he was the General Director of Joint-stock company “RTS Clearing Center” (prior to a change of the name, CJSC “Technical Center RTS”) and performed the general management of the company’s activity.

From 24 February 2010 till 20 December 2013, Sergey Gorbachenko worked at Moscow Interbank Currency Exchange (after a change of the name, Moscow Exchange) as the Project Director of the Development & Project Activity Center and was in charge of implementation of the company’s projects.

On 21 June 2010 he was employed on a part-time basis by NCC Clearing Bank (prior to a change of the name, Bank “National Clearing Centre” Closed Joint-stock company) as the Development Director responsible for implementation of clearing projects. On 01 June 2011, he was transferred to a position of the Director of the Clearing Centre and was responsible for arrangement of work of that business unit. On 02 July 2012 he was transferred to a position of the Director of the Clearing Department; since then, he has been performing general management of the business unit and is in charge of exercise of clearing on all the markets of Moscow Exchange Group (from 23 December 2013 up to now, this position is his primary employment).

From 24 December 2013 when he was elected a member of the Management Board of NCC Clearing Bank (prior to a change of the name, Bank “National Clearing Centre” Closed Joint-stock company) (the date of approval by the Bank of Russia: 09 December 2013) up to now, he has been supervising the Clearing Department.

His contribution to development of clearing operations and the central counterparty in the Russian financial market was recognized in 2013 when the Chairman of the Management Board of Moscow Exchange expressed the gratitude to Sergey Gorbachenko for his contribution to transfer of the stock market of Moscow Exchange to the T+2 technology.

Sergey Gorbachenko doesn’t hold an office in management bodies of other legal entities.
